1. Acceptance of Terms

 

These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (“User”, “you”, or “your”) and Sumvaad, an entity registered under Udyam Registration Number [UDYAM-UP-56-0104145] (“Sumvaad”, “we”, “us”, or “our”).

By accessing, browsing, registering on, or using the Platform in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms, along with all applicable laws and policies referenced herein.

If you do not agree, you must discontinue use of the Platform immediately.

2. Definitions

 

For the purposes of these Terms:

  • “Platform” refers to www.sumvaad.co.in and all its features

  • “User” refers to any individual or entity accessing or using the Platform

  • “Content” refers to any information, data, text, images, listings, or materials submitted or displayed on the Platform

  • “Intermediary” shall have the meaning assigned under the Information Technology Act, 2000

3. Nature of the Platform and Intermediary Status

 

Sumvaad operates as an intermediary technology platform under applicable Indian laws.

The Platform provides:

  • a user-generated business directory feature (“UDHYAM SUCHI”),

  • informational content through blogs, and

  • publicly sourced trade event listings.

Sumvaad does not:

  • create, select, or modify user-generated Content,

  • independently verify the accuracy, legality, or authenticity of user submissions,

  • act as a marketplace, broker, or agent,

  • facilitate, control, or guarantee any interaction, transaction, or business outcome.

All interactions and engagements occur directly between Users at their own risk and discretion.

4. Eligibility and User Registration

 

By using the Platform, you represent and warrant that:

  • you are at least 18 years of age,

  • you are legally capable of entering into binding agreements,

  • where acting on behalf of a business, you are duly authorized to do so.

You agree to provide accurate, complete, and updated information during registration and use of the Platform.

You are solely responsible for maintaining the confidentiality of your account and for all activities conducted under it.

5. User Responsibility and Legal Compliance

 

The User shall comply with all applicable laws, including but not limited to:

  • the Information Technology Act, 2000,

  • the Digital Personal Data Protection Act, 2023,

  • and all other applicable Indian laws.

The User shall be solely responsible for:

  • the accuracy and legality of all Content submitted,

  • all business activities conducted through or arising from the Platform,

  • all claims, representations, and communications made.

Sumvaad shall not be liable for any user-generated Content, business conduct, or consequences arising from user interactions.

6. Platform Features

 

6.1 Udhyam Suchi (Business Listings)

Udhyam Suchi is a user-generated business directory feature that enables Users to create and publish business listings.

By creating a listing, the User acknowledges that:

  • all information is self-declared and user-controlled,

  • Sumvaad does not independently verify such information,

  • listings are publicly accessible.

Only businesses with a valid GSTIN are permitted to create listings.

All detailed terms relating to listings, pricing, validity, refunds, renewals, and moderation are governed exclusively by the Udhyam Suchi Terms of Use.

 

6.2 Blogs

Sumvaad publishes informational content through its Blogs.

Such content:

  • is intended for general informational purposes only,

  • does not constitute professional, legal, or financial advice,

  • may include third-party references.

Users are advised to exercise independent judgment before relying on such content.

 

6.3 Trade Events

The Platform may display trade event information sourced from publicly available data.

Sumvaad:

  • does not organize, sponsor, or partner with such events,

  • does not guarantee accuracy or completeness,

  • assumes no responsibility for changes, cancellations, or outcomes.

 

6.4 Sumvaad Consulting

Sumvaad offers digital consulting services through the Platform.

Such services are provided for general informational and guidance purposes only and do not constitute legal, financial, regulatory, or professional advice.

Sumvaad does not guarantee any outcomes, results, or business performance arising from such sessions, and Users are solely responsible for any decisions taken based on consulting discussions.

All operational terms relating to consulting services, including booking, payments, cancellations, refunds, and session rules, are governed by the Booking Policy (Consulting Services).

7. Public Content Disclosure and User Consent

 

By submitting any Content on the Platform, the User provides explicit, informed, unconditional, and irrevocable consent for such Content to be:

  • publicly displayed on the Platform,

  • indexed by search engines,

  • distributed and accessible across the internet.

This includes, without limitation:

  • business name,

  • contact details,

  • email address,

  • business address,

  • GSTIN,

  • and all other submitted information.

The User acknowledges that:

  • such Content may be accessed, copied, or used by third parties without restriction,

  • Sumvaad has no control over third-party use once Content is published,

  • the User assumes full responsibility for any consequences arising from such disclosure.

8. Prohibited Content and Conduct

 

Users shall not upload, publish, or promote any Content that:

  • violates applicable laws,

  • is false, misleading, or fraudulent,

  • infringes intellectual property rights,

  • relates to prohibited goods, services, or activities,

  • is abusive, harmful, or unlawful.

Sumvaad reserves the right to remove such Content and take appropriate action, including suspension or termination of accounts.

9. Third-Party Services and Integrations

 

The Platform relies on third-party services, including but not limited to:

  • Wix (hosting and infrastructure),

  • Cashfree Payments (payment processing).

Sumvaad does not:

  • store payment credentials,

  • control third-party systems or data handling practices.

To the fullest extent permitted by law, Sumvaad shall not be liable for failures, breaches, or issues arising from such third-party services.

10. Intellectual Property

 

All Content created by Users remains their responsibility.

By submitting Content, the User grants Sumvaad a non-exclusive, royalty-free, worldwide license to use, display, and distribute such Content for Platform operations.

Users represent that they have the legal right to use and publish such Content.

Sumvaad shall not be liable for any intellectual property infringement arising from user submissions.

11. Privacy and Data Protection

 

Sumvaad processes User data in accordance with applicable laws, including:

  • the Information Technology Rules, 2011, and

  • the Digital Personal Data Protection Act, 2023.

User data may be processed through third-party service providers.

While reasonable safeguards are implemented, Sumvaad disclaims liability for breaches arising from third-party systems.

12. Disclaimer of Warranties

 

The Platform is provided on an “as is” and “as available” basis.

Sumvaad makes no warranties, express or implied, including but not limited to:

  • accuracy or reliability of Content,

  • uninterrupted or error-free operation,

  • suitability for any particular purpose.

13. Limitation of Liability

 

To the fullest extent permitted by law, Sumvaad, its founders, employees, and affiliates shall not be liable for:

  • any direct or indirect losses,

  • business losses, loss of profits, or opportunities,

  • disputes between Users,

  • reliance on any Content available on the Platform.

14. Indemnification

 

The User agrees to indemnify, defend, and hold harmless Sumvaad from any claims, damages, losses, liabilities, or expenses arising out of:

  • violation of these Terms,

  • unlawful or misleading Content,

  • infringement of third-party rights,

  • misuse of the Platform.

15. Suspension and Termination

 

Sumvaad reserves the right, at its sole discretion and without prior notice, to:

  • remove any Content,

  • suspend or terminate User accounts,

  • restrict access to the Platform.

16. Amendments

 

Sumvaad reserves the right to modify these Terms at any time.

Continued use of the Platform after such modifications constitutes acceptance of the revised Terms.

17. Governing Law and Jurisdiction

 

These Terms shall be governed by the laws of India.

All disputes shall be subject to the exclusive jurisdiction of courts located in Meerut, Uttar Pradesh.
